Terms of Service

These Terms of Service ("Terms") are a contract between you and Pavel Valynets PR, preduzetnik (sole proprietor), Beograd, Serbia ("UPGeoSEO", "we", "us"). They govern your use of the UPGeoSEO software and service (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

UPGeoSEO is self-serve software that helps you create and publish search-optimized content for your own websites, and that measures how visible your sites are to search engines and AI answer engines. You connect your own site(s) and accounts; the Service generates content and, at your direction, publishes it to destinations you control.

2. Your account and eligibility

You must be able to form a binding contract and be using the Service for a business or professional purpose. You are responsible for your account credentials and for all activity under your account.

3. Your content and connected accounts

You retain ownership of the material you provide and of the sites and accounts you connect. You grant us the limited rights needed to operate the Service for you (to crawl your site, generate and publish content on your behalf, and read connected analytics). You represent that you have the right to grant these rights and to publish the content the Service produces for you.

4. AI-generated output

The Service uses third-party AI models to generate text ("Output"). You are responsible for reviewing Output before it is published, and for ensuring it is accurate, lawful, and appropriate for your audience. To the extent permitted, we assign to you our rights in the Output for your site; this assignment is non-exclusive, and you acknowledge that AI-generated material may not be eligible for copyright protection and that similar Output may be generated for others. The Service is a tool; you — not UPGeoSEO — are the publisher of what you choose to publish.

You control what goes live. By default, generated content is saved as a draft and is not published anywhere. Content is published to a destination you connect only after you either approve the draft or explicitly enable auto-publish for that site. You can review, edit, or discard any draft before it is published, and you can turn auto-publish off at any time.

5. Acceptable use

You agree not to use the Service to create or distribute unlawful, infringing, deceptive, or harmful content; to send spam or unsolicited bulk messages; to attempt scaled search-engine manipulation or cloaking; to publish content you are not authorized to publish; or to interfere with, probe, or overload the Service or the systems of any site you connect. We may suspend or terminate accounts that breach this section.

6. Fees, billing, and the merchant of record

Paid plans are billed as described on our Pricing page: per site, plus an add-on per extra locale. Current prices, currency, and the billing period are shown on that page and at checkout before you pay. Subscriptions renew automatically at the end of each billing period, and the then-current fee recurs to your payment method, until you cancel. We may change prices; changes apply to the next renewal after we notify you, and your continued use or non-cancellation before that renewal is your acceptance of the new price.

Payments are processed by Creem (creem.io), our authorized reseller and merchant of record. Creem is the seller of record on your statement and is responsible for charging you, collecting and remitting applicable taxes, and issuing your invoice. UPGeoSEO licenses the Service to you. Refunds and cancellations are governed by our Refund & Cancellation Policy; you should contact UPGeoSEO first for any billing question.

7. Cancellation

You may cancel your subscription at any time from your account. Cancellation stops future renewals; see the Refund & Cancellation Policy for what happens to the current period.

8. Warranties and disclaimers

THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant any particular search ranking, traffic, AI-answer citation, or business result.

9. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to the Service will not exceed the greater of US$100 or the fees you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential damages. Nothing limits liability that cannot be limited by law (e.g. fraud or willful misconduct).

10. Indemnity

You will indemnify us against claims arising from content you publish through the Service or your breach of these Terms.

11. Suspension and termination

We may suspend or terminate access for breach of these Terms or the Acceptable Use Policy, or as required by law.

12. Changes to these Terms

We may update these Terms; material changes will be notified by email and/or an in-app notice at least 14 days before they take effect. Continued use after changes take effect means you accept them.

13. Governing law and disputes

These Terms are governed by the laws of Serbia, and disputes will be resolved in the competent courts of Beograd, Serbia.
